Job Summary
Preparation of Agenda & Minutes of Board/ Committee & General Meetings, data consolidation, validation, pre and post compliances2. Development of compliance checklist for global application across 20 subsidiaries in different geographies under the guidance of Company Secretary directly such as AGM, Annual Report approval, Incorporation sequences, Retirement Chart, Appointment rules for Managing Director3. Adherence to various statutory compliances of Corporate Laws and respective regulatory authorities for Listed and Unlisted Indian and overseas Companies4. Assistance in timely filing of forms of disclosures and periodical reports like Annual Report with Statutory Authorities and Stock Exchanges, including Secretarial Audit Certificates, SEBI Listing Submissions and Disclosure, RoC Forms5. Execution of Corporate Action such as restructuring projects like mergers under the supervision of the Senior Manager6. Oversee investor related matters specifically investor complaints and co-ordinate the activities of Share Department with R&T Agents7. Ensuring weekly register on share-transfers, transmission/ consolidation/ Sub division/ replacement of certificates, completion of procedures of issue of duplicate certificates, reports on demat remat etc
