Job Purpose:

Working as part of the EMEA ICG Legal Loans Legal team, this lawyer will be primarily responsible for advising Citi's EMEA Leveraged Finance business. The role will also provide support to the Investment Grade and Emerging Markets loan origination businesses.

The successful candidate will be the leveraged finance team's key internal resource for advising on all aspects of loan origination issues, including market and legal developments, internal policy issues as well as overseeing use of external counsel. The loan origination desks also utilize external counsel secondee lawyers sitting with the businesses to assist with documentation issues. This role involves managing and supervising these secondees as well as the secondee arrangements with the law firms.

In addition, the position involves close coordination with an "in business" execution professional who is also a qualified lawyer.

As part of the internal control architecture, this lawyer will also ensure compliance with Citi policies and procedures.

There will also be the opportunity to work with Citi's restructuring and workouts team, called Institutional Remedial Management ("IRM") which manages Citi's distressed loan and other credit positions.

Job Background/context:

The role is in Citi's Europe, Middle East and Africa "(EMEA") Loans Legal team which is part of the Global ICG Legal Loans Legal team. The EMEA Loans Legal team provides legal coverage and support across EMEA for Citi's Corporate Bank lending businesses as well as the Banking, Capital Markets and Advisory ("BCMA") business unit. BCMA arranges syndicated loans for our investment grade, emerging markets, and leveraged finance clients. The team also coordinates legal support for (IRM), Citi's workout and restructuring group.

The Leveraged Finance business is engaged in helping clients raise finance through high yield bonds and non-investment grade loans. Typical clients are high growth companies, frequently private equity backed.

The Investment Grade and Emerging Markets loan desks provide working capital facilities for large corporates as well as financing episodic transactions for those clients across the Europe, Middle East and Africa region.
ICG Legal Loans is a global product legal team within Citi's institutional legal function. It has lawyers and legal professionals in New York, London, Hong Kong, Tampa, Belfast and Mumbai.
The role will report to the Global Head of ICG Legal Loans.

Key Responsibilities:

The position involves:

• Reviewing and negotiating legal terms in loan transactions from inception to completion. In particular, NDAs, marketing materials, commitment documentation, credit agreements, guarantees and legal opinions.
• Working closely with other members in the team and General Counsel's Office as appropriate.
• Identifying legal risks and opportunities presented by transactions and ensuring that Citi's policy, legal and regulatory standards are maintained.
• Liaising with other control groups within Citi, for example, Risk, Accounting Policy, Tax and Compliance.
• Management of external counsel.

• Significant experience in advising on leveraged lending transactions between banks and corporate and private equity clients.
• Familiarity with both English law and New York law loan documentation preferred.

• Solicitor qualified in England and Wales or equivalent from another jurisdiction.
• Typically, applicants will have at leastextensive years PQE. However, exceptional candidates with the necessary skills and type of experience may be eligible to be considered for the position, regardless of their level of PQE
