The opportunity: 
 
To Support the Head of UK Secretariat & Governance, in Leading the function, providing Governance advice, and delivering effective and efficient Board support services to Zurich affiliated entities on a pan UK basis 
The successful candidate, will be extensively experienced at working at senior levels of an organisation, facilitating meetings and liaising with Non-Executive Directors. Comfortable participating in Board / Committee meetings and advising Executives and the CEO.
 
 
Key Responsibilities: 
 
The role will require active participation in Projects, providing senior level support and advice to the UK Executive team and other key stakeholders on all Governance matters affecting the UK entities and Branches.
General oversight of the team and accountability tasks will include:
 
General/routine


Ensure companies operate lawfully and within their constitution

Ensure the Maintenance of applicable statutory registers and Group databases 

Ensure companies operate in accordance with Zurich policies and procedures

Manage a portfolio of entities which will include the arranging, attending and minuting board, board committee and shareholder meetings, including distribution of agendas and supporting board papers, minutes and actions

Assisting and arranging the execution of company documents

Director induction/refresher training

Provide advice and information on the corporate structure

Ensure the filing of statutory documents with Companies House, including statutory accounts, annual confirmation statements and event driven filings

Custodian of company records including minute books, filing records, correspondence, statutory documents, contracts and other documentation
Specific focus


Deputise for the Head of UK Secretariate & Governance as required, including attendance and minuting of the Monthly UK Executive Committee Meetings

Provide support and advice to the Executive and other key stakeholders on compliance with ZIP (UK Branch) governance requirements,  including the UK Branch Governance Manual and delegated authorities ;

Lead on the facilitation of entities involved in the Pension structure in the UK

Project support – be a key part of business projects that impact on the team or its remit or operate across our legal entity structure (e.g. BREXIT, Legal Entity Simplification, UK Systems of Governance, Acquisitions / Divestments etc);

Build awareness of how UK processes, tools and remit differ from other parts of Zurich Group and identify any opportunities for learning from other territories;

Provide mentoring/technical coaching/training to other members of the team and support their development as company secretaries across the newly formed PAN UK team;

Identify new legislation, regulations or guidance that impacts on our entities or the services we provide;

Drive the programme of work looking at operational effectiveness in the team following its move to PAN UK structure inc: moving from a Life / GI mentality to a “One Team” approach, creation of PAN UK processes, cross fertilisation of skill sets etc

Support the Head of UK Secretariate & Governance in achieving ownership of the Governance agenda, raising the profile of the team to be the “Go to Team” for all governance matters.

Build our external presence and network to obtain a better perspective and insight on what other organisations do in the company secretarial and governance space
Internal relationships
 
Incumbent needs to have good relationships with:


Members of the local regional and global legal function.

Representatives of the business areas which are being supported by Company Secretarial including in particular Board and Committee members, members of the Executive and Non-Executive Directors for all relevant Zurich group entities

Other functions e.g. Finance, Compliance, Risk, Legal, Audit
External relationships


Auditors

Regulatory and other authorities (e.g. Companies House, Financial Reporting Council)

Other service providers (e.g. lawyers, liquidators)
Professional qualifications
 
Required:


Qualified Chartered Secretary (or equivalent)
 
 
Your skills and experience:
 


Experienced in company secretarial law and practice

Expert knowledge of relevant corporate law and
