is searching for a Manager, Merger & Acquisitions, Global Finance who will
be part of the Global M&A Finance and Transaction Management Group. You
will report directly to the Associate Director, Global M&A Finance and
indirectly to the Assistant Vice President, Mergers & Acquisitions, Head of
Global M&A Finance and Due Diligence Leader both located in Teaneck, NJ.
Co-lead and assist in end
to end M&A transaction management, cross functional due diligence work
plans and scope procedures for M&A transactions.
Assist team members with
financial, accounting and business due diligence activities for M&A
Plan and execute M&A
project weekly cadence calls with cross functional M&A team members.
Review external advisor
deliverables to assess “Red Flag” reporting matters
Prepare communication/deliverables
to internal M&A deal teams including reports, memos, financial
analysis, etc.
Participate in financial
review of key modeling assumptions with financial and accounting
Review financial, business
and other applicable sections of legal contracts associated with
transactions and provide feedback/recommendations and alternative deal
Assist in post-close
activates such as the closing statement and preparation of the opening
balance sheet, including allocation of tangible and intangible assets.
Provide support in
preparing the acquisition valuation or the coordination of valuation
engagements with third-party valuation firm to determine fair values for
tangible and intangible asset values.
Partner with the Corporate
Development and Business Unit teams and actively participate in target
management meetings.
Willingness to travel
globally is necessary.
This person will have significant interaction with
Cognizant’s corporate development team, cross-functional deal team leads
(including Commercial/Business Units, Legal, Human Resources, Tax, IT,
Integration Managers, etc.), as well as, external accounting advisors, seller
and buyer investment bankers and legal advisors. You will have shared
responsibility for end to end transaction management (engagement origination
through post sign and post close M&A activities). In addition, you will
interact with Directors and AVPs within the Global Controller’s Group – US and
Worldwide, including members of the Corporate Development and M&A
Integration functions.
Experience requirement:
1-3 years of recent
experience in end to end M&A Transaction Management and Financial Due
Diligence and/or 1-4 years of SEC global audit and technical
accounting/finance experience.
A background in public accounting
/ transaction services / external audit Big 4 experience preferred.
Exposure to other
multinational providers of digital transformation, IT, consulting and
business process services is a plus.
Experience with valuation
methods, business and M&A modeling and Stock/Asset Purchase
Strong project management
skills are required.
Proficiency in Excel and
financial analysis techniques, PowerPoint and senior management reporting.
Strong analytic abilities,
written and verbal communication skills and organizational skills.
Excellent people skills,
working successfully in a team context with all levels.
High attention to detail
and the ability to work in a self-directed manner.
BA or BS degree required
CPA required.
MBA or CFA a plus, but not
